Terms of Service

1. Acceptance of Terms

By accessing or using the Zypron platform ("Platform", "Service"), including the web application, mobile application, or any associated APIs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you ("User", "you") and Zypron Technologies ("Company", "we", "us").

2. Description of Service

Zypron is a business management platform designed for micro, small, and medium-sized enterprises (MSMEs) operating primarily in Ghana and across Africa. The Service includes, but is not limited to, point-of-sale (POS) tools, inventory management, online storefronts, sales and expense tracking, customer relationship management, invoicing, team management, wallet and payout services, and integrations with third-party payment and communication services.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of Ghana to use this Service. By registering, you represent and warrant that you meet these requirements. Use of the Platform by businesses requires a valid Ghanaian or African phone number for OTP-based authentication.

4. Account Registration and Security

Access to the Platform is granted via a one-time password (OTP) sent to your registered mobile number. You are responsible for maintaining the confidentiality of your account session and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or suspected security breach. Zypron will never ask for your OTP via phone call, email, or chat — treat any such request as fraudulent.

5. Subscription Plans and Billing

Certain features of the Platform are available only under a paid subscription plan. Subscription fees are displayed at the point of purchase and are billed in Ghana Cedis (GHS) unless otherwise stated. By subscribing, you authorize Zypron to charge the applicable fees to your selected payment method via Hubtel mobile money or other supported payment channels. Subscription fees are non-refundable except as set out in our Refund Policy. We reserve the right to modify subscription pricing upon 30 days' written notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

6. Acceptable Use

You agree to use the Platform only for lawful business purposes and in accordance with these Terms. You must not: (a) use the Service to engage in fraudulent, deceptive, or illegal activities; (b) impersonate any person or entity or misrepresent your affiliation; (c) upload content that infringes third-party intellectual property rights; (d) attempt to gain unauthorized access to any part of the Platform or its underlying infrastructure; (e) use automated bots, scrapers, or scripts to extract data from the Platform without our prior written consent; (f) resell or sublicense access to the Service without authorization; or (g) engage in any conduct that could damage, disable, or impair the Platform or interfere with other users.

7. Content and Data Ownership

You retain full ownership of all business data, customer data, product listings, and content you submit to the Platform ("Your Content"). By submitting Your Content, you grant Zypron a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Service. We do not claim ownership of Your Content and will not sell it to third parties. You are solely responsible for the accuracy, legality, and appropriateness of Your Content.

8. Payments and Third-Party Processors

Payment processing on the Platform is facilitated by Hubtel (www.hubtel.com) and other licensed payment service providers. When you initiate a payment, you are subject to the terms and conditions of the relevant payment processor in addition to these Terms. Zypron is not responsible for errors, delays, or failures arising from third-party payment infrastructure. All disputes regarding charges processed through mobile money or bank channels must be raised directly with the relevant payment service provider in the first instance.

9. SMS and WhatsApp Communications

By registering on the Platform, you consent to receive transactional SMS messages (such as OTP codes, order confirmations, and payment notifications) from Zypron and its SMS partners including mNotify. Promotional communications will only be sent with your explicit consent. If you integrate WhatsApp Business API through the Platform, you are responsible for ensuring your use complies with Meta's WhatsApp Business Policy and Ghana's data protection laws.

10. Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Ghana Data Protection Act, 2012 (Act 843) in the collection, processing, and storage of personal data. Please review our Privacy Policy to understand our practices.

11. Intellectual Property

The Platform, including its design, software, trademarks, and all content created by Zypron (excluding Your Content), is the exclusive property of Zypron Technologies and is protected by Ghanaian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

12. Uptime, Maintenance, and Service Changes

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance with or without notice. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. We will make reasonable efforts to notify users of significant changes with at least 14 days' notice where practicable.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Zypron and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages. Our total liability to you for any claim arising from use of the Service shall not exceed the subscription fees paid by you in the three (3) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zypron, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from: (a) your use or misuse of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.

15. Termination

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if your account poses a risk to the Platform or other users. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days following termination to allow for data export requests, after which it will be permanently deleted unless legally required to be retained.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall first be referred to mediation in Accra, Ghana. If mediation fails within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Ghana.

17. Changes to These Terms

We may update these Terms from time to time. We will notify registered users via SMS or in-app notification at least 14 days before material changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. We encourage you to review these Terms periodically.
